This Privacy Policy explains how Metriant FZCO collects, uses, and protects your personal data when you visit metrabell.com, join our Founding 50 waitlist, or otherwise interact with Metrabell. We aim to be clear, brief, and honest — no boilerplate buried in fine print.

01What we collect

When you submit the Founding 50 form we collect: first name, last name, work email, optional business name, country, business type, role, and your consent preferences. We also log basic technical metadata (timestamp, referrer, user agent) to prevent abuse.

Metrabell — Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Metrabell website at metrabell.com, any reservation, account, or subscription you make with us, and any related products or services we provide (together, the "Service"). The Service is provided by Metriant-FZCO, a company registered in the Emirate of Dubai, UAE with registered office at IFZA Business Park, DDP, 87712 - 00, Dubai, United Arab Emirates. ("Metriant" "Metrabell," "we," "us," or "our").

By accessing the Service, creating an account, or reserving a spot in the Founding 50 program, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.

1About Metrabell

Metrabell is a revenue intelligence platform for service businesses operating in the Gulf Cooperation Council (GCC) region. The Service connects to business messaging channels (such as WhatsApp Business and Instagram), values incoming leads against a customer's service catalogue, and provides pipeline, intent scoring, and team performance analytics. Metrabell is currently in a pre-launch phase. Features, integrations, pricing, and availability may change before general release.

2Eligibility

You must be at least 18 years old, legally able to enter into a binding contract, and authorised to bind the business you represent. By using the Service you confirm you meet these requirements.

3Accounts and Founding 50 Reservations

3.1 To reserve a spot in the Founding 50 program or to use the Service, you may be asked to provide your name, business name, contact details, and (where applicable) payment information.

3.2 You are responsible for keeping your account credentials secure and for all activity that takes place under your account. Notify us promptly at Privacy@metriant.co if you suspect unauthorised access.

3.3 The Founding 50 program grants the holder early access to the Service and the discount stated at the time of reservation. The specific terms applicable to a Founding 50 reservation — including any deposit, refund conditions, and target onboarding date — will be communicated at the time of reservation and form part of these Terms by reference.

4Permitted Use

You may use the Service only for lawful business purposes and in accordance with these Terms and any documentation we make available.

5Restrictions

You agree not to:

• Use the Service in any way that violates applicable law, including data protection, anti-spam, telemarketing, or consumer protection laws in your jurisdiction;
• Reverse-engineer, decompile, copy, or attempt to derive the source code of the Service, except where such restriction is prohibited by applicable law;
• Use the Service to send unsolicited messages, spam, or content that infringes third-party rights;
• Resell, sublicense, rent, or make the Service available to any third party without our prior written consent;
• Use the Service to build a competing product or to benchmark its features for the purpose of building a competing product; or
• Interfere with or disrupt the integrity, security, or performance of the Service.

6Customer Data and Privacy

6.1 You retain all rights to the data you upload to, generate through, or transmit using the Service ("Customer Data"), including service catalogues, customer conversations, contact details, and pipeline records.

6.2 We process Customer Data on your behalf solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

6.3 You are responsible for ensuring you have the necessary rights, lawful bases, and consents to share Customer Data with us — including from your customers and end users — under applicable laws, the WhatsApp Business Messaging Policy, and Meta Platform Terms.

7Third-Party Services

The Service integrates with third-party platforms, including Meta's WhatsApp Business API and Instagram. Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, security, behaviour, or policies of third-party services, and disruption to those services may affect the Service.

8Intellectual Property

8.1 The Service — including all software, designs, text, graphics, user interfaces, models, and trademarks (including "Metrabell" and "Metriant") — is owned by Metrabell or its licensors and is protected by applicable intellectual property laws.

8.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription or reservation.

8.3 If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free licence to use them without restriction.

9Fees, Subscriptions, and Founding 50 Pricing

9.1 Fees, subscription plans, and any Founding 50 discounts are described on the Metrabell website or in your order confirmation.

9.2 Unless stated otherwise, all fees are quoted in UAE Dirhams (AED) and are exclusive of VAT and any other applicable taxes, which are payable by you in addition to the fees.

9.3 Subscription fees are billed in advance for the billing period you select. Except where required by applicable law, fees are non-refundable.

9.4 We may change pricing for future billing periods on at least thirty (30) days' prior written notice.

10Service Availability and Modifications

10.1 We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable during scheduled maintenance, third-party outages, force majeure events, or other events beyond our reasonable control.

10.2 We may update, modify, or discontinue features of the Service at any time. During pre-launch and early-access periods, the Service is provided on an "as is" and "as available" basis and may contain incomplete or experimental functionality.

11Suspension and Termination

11.1 You may stop using the Service at any time. Cancellation of a paid subscription takes effect at the end of the then-current billing period unless otherwise required by law.

11.2 We may suspend or terminate your access to the Service immediately if you breach these Terms, if your use poses a security or legal risk to the Service or to others, or if required by law or a regulator.

11.3 On termination, your right to access the Service ends. We will make Customer Data available for export for a reasonable period as described in our Privacy Policy, after which we may delete it.

12Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Without limiting the foregoing, Metrabell does not warrant that:

• the Service will be uninterrupted, secure, or error-free;
• any predictions, lead scores, revenue estimates, or analytics generated by the Service will be accurate, complete, or commercially advantageous; or
• the Service will be compatible with every third-party integration on which you rely.

13Limitation of Liability

To the maximum extent permitted by law, in no event will Metrabell, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or in connection with the Service or these Terms — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the greater of (i) the fees you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or (ii) AED 1,000.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14Indemnification

You agree to defend, indemnify, and hold harmless Metrabell and its affiliates from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your Customer Data; (c) your breach of these Terms or applicable law; or (d) your violation of any third-party right, including the rights of your own customers.

15Confidentiality

During pre-launch and early-access periods, you may receive non-public information about the Service, including roadmap, performance, and pricing details ("Confidential Information"). You agree to keep Confidential Information confidential, to use it only for the purpose of evaluating and using the Service, and not to disclose it to any third party without our prior written consent.

16Force Majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, civil unrest, government action, labour disputes, internet or telecommunications failures, third-party platform outages, cyber-attacks, pandemics, or natural disasters.

17Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be subject to the exclusive jurisdiction of the courts of Dubai.

18Changes to These Terms

We may update these Terms from time to time. If we make material changes we will notify you through the Service or by email to the address associated with your account. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19Miscellaneous

19.1 Entire agreement. These Terms, together with the Privacy Policy and any order, reservation confirmation, or supplemental terms referenced in them, constitute the entire agreement between you and Metrabell regarding the Service and supersede any prior agreements.

19.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.3 No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

19.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

19.5 Notices. Notices to you may be sent by email to the address associated with your account or posted on the Service. Notices to us must be sent to Privacy@metriant.co with a copy to Metriant-FZCO, IFZA Business Park, DDP, 87712 - 00, Dubai, United Arab Emirates.

19.6 Independent contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
